These Terms of Service (the "Terms") govern the use of the Vecify vertical B2B Software as a Service (SaaS) platform, including its integrated AI agents (the "Platform" or "Service"), provided by Vecify SA, Barcelona, registered with the commercial register (hereinafter referred to as "Vecify").
These Terms, together with any order form or separate written agreement, constitute the entire agreement ("Agreement") between Vecify and the Customer.
These Terms apply to all services provided by Vecify to the Customer regarding the Platform, which unifies systems engineering, Verification & Validation (V&V), and project management to facilitate real-time execution, audit readiness (ERS), and adherence to the V-model for regulated hardware teams.
Vecify provides the Platform exclusively to customers who are entrepreneurs or businesses, and not to consumers.
Any differing, conflicting, or supplementary terms and conditions proposed by the Customer are expressly rejected and will not become part of the Agreement unless Vecify agrees to their inclusion in writing.
Vecify provides a specialized SaaS Platform that enables customers to design, manage, and execute their regulated engineering processes, including integrated AI agents for assistance, real-time V&V, and certification workflows. The Platform is accessed via the internet.
Vecify reserves the right to continuously develop, update, and modify the Platform and its services, including the underlying technologies, systems, and AI agent capabilities. Vecify will notify the Customer of any essential changes at least one month before their implementation ("Amendment Date").
If an essential change results in a significant disadvantage to the Customer, the Customer may terminate the Agreement with effect from the Amendment Date. Written notice of termination must be provided within two weeks of receiving the notification of amendment.
The Platform is a SaaS application accessed over the internet. An internet-compatible device and an active, reliable internet connection are mandatory. Vecify is not responsible for providing internet access.
Vecify strives to achieve maximum availability of the Platform but does not guarantee a specific uptime. Availability may be limited or interrupted due to necessary maintenance, repairs, or factors outside of Vecify's control. The specific service level commitment (SLA), including guaranteed uptime and the Customer's sole and exclusive remedies for service interruptions.
Access to and use of the Platform's features, including the AI agents and process creation tools, are restricted to registered users authorized by the Customer ("Authorized Users").
The Customer must provide and ensure that its Authorized Users provide correct and current information during registration. The Customer must promptly update any changes or inaccuracies in the user account data.
The Customer is responsible for ensuring that each Authorized User maintains the confidentiality and security of their personal access passwords and login credentials ("Access Data"). Access Data must not be shared. The Customer shall instruct all Authorized Users on proper security practices, including using strong, unique passwords.
The Customer shall designate one Authorized User to serve as the primary technical administrator ("Administrator") for the customer account.
The Customer must immediately inform Vecify upon suspicion of any unauthorized use or security breach of Access Data. Vecify reserves the right to block access or change Access Data for security reasons, promptly notifying the Customer.
The Customer is solely responsible for all engineering data, processes, and content created, uploaded, or stored on the Platform. The Customer bears responsibility for ensuring that all such content and the resulting designs, hardware, or certification artifacts comply with all applicable laws, standards, and regulations, including those specific to their industry. The Platform and its AI agents are provided as tools only; the Customer retains full and final responsibility for all compliance, verification sign-offs, and regulatory submissions.
The Customer shall indemnify and hold harmless Vecify from all claims asserted by third parties against Vecify due to the actual or alleged violation of their rights or legal violations arising from the content or processes posted by the Customer or its Authorized Users. This includes bearing the necessary costs of Vecify's legal defense. This obligation does not apply if the claim is based on Vecify's intent, gross negligence, or breach of these Terms.
The Customer and Authorized Users must refrain from any action that could endanger or disrupt the Platform's functionality, including: (a) Using automated software mechanisms (robots, crawlers, etc.) except through the officially provided API. (b) Exploiting any technical errors to circumvent security, violate laws, or harm third parties. (c) Engaging in any other activity that impairs the smooth operation of the Platform.
The Platform must not be used for the design, development, verification, or validation of war weapons or any component specifically designed for such use, as defined by relevant international treaties and applicable export control laws.
The Platform, its layout, graphics, Protected Contents (including the core algorithms, AI models, and integrated software), are subject to Vecify's intellectual property rights and copyrights. The Customer is granted a non-exclusive, non-transferable, non-sublicensable right to use the Platform only for the duration and purpose of the Agreement.
The Customer is prohibited from modifying, adapting, translating, decompiling, disassembling, reverse engineering, or attempting to derive the source code of the Platform.
The Customer retains all rights and ownership to the engineering data and processes they create or input into the Platform. (a) For personal data, the Customer is the "controller" and Vecify is the "processor" under data protection laws. A separate Data Processing Agreement (DPA) shall be concluded as part of this Agreement.
Vecify is entitled to collect, analyze, and use anonymized and aggregated data about the use of the Platform and its features, including the utilization of AI agents, for the purpose of improving Vecify's services and for statistical or marketing purposes. This information will not be attributable to individual Customers and shall not include the Customer's Confidential Information that can be used to re-identify the Customer. This usage is independent of the DPA in 6.3(a).
The Platform's algorithms, AI agent logic, and underlying technology constitute Vecify's business secrets and trade secrets. The Customer must maintain strict confidentiality and protect these secrets from unauthorized access or disclosure.
Vecify is liable without limitation for intent and gross negligence. For slight negligence, Vecify is only liable in the event of a breach of essential contractual obligations. In such a case, liability is limited to the damage typical for this type of contract that was foreseeable at the time of the Agreement's conclusion.
Vecify is liable for data loss only if such loss could not have been avoided by appropriate data security measures on the part of the Customer (e.g., regular external backups). In any event, Vecify's liability for data loss is strictly limited to the cost of restoring the lost data from the last available backup. The Customer is responsible for making timely backups of all critical data.
The limitations of liability do not apply to claims based on the assumption of explicit guarantees, the lack of assured properties, damages from injury to life, body, or health, or liability under applicable product liability laws.
Unless otherwise specified in the Agreement, the Agreement is for an indefinite term and can be terminated by either party with a notice period of four weeks to the end of a calendar month.
The right to extraordinary termination for good cause remains unaffected. Vecify is entitled to extraordinary termination if the Customer violates a material obligation (e.g., Section 5.4, 4.3) and fails to remedy the violation after a warning.
Upon the termination becoming effective, the Customer's access to the Platform will cease. The Customer is responsible for timely backing up all their data before termination. Vecify will irrevocably delete all Customer data from the Platform within a reasonable period, subject to statutory retention obligations.
Confidential Information includes all business secrets, engineering data, processes, and any information disclosed by the Customer and expressly designated as "confidential."
Vecify must keep Confidential Information strictly confidential and use it only to fulfill its obligations under the Agreement. Vecify shall implement appropriate technical and organizational measures to protect Confidential Information from unauthorized access.
The confidentiality obligations shall survive the termination of the Agreement for a period of 3 years. Notwithstanding the foregoing, information qualifying as a trade secret under applicable Spanish law shall remain confidential in perpetuity.
The laws of Spain shall apply, excluding its conflict of laws principles and the UN Sales Convention. The exclusive place of jurisdiction for all disputes arising from or in connection with the Agreement shall be Barcelona, Spain though Vecify may also bring an action at the Customer's general place of jurisdiction.
Vecify is entitled to name the Customer as a reference and to use the Customer's firm name, logo, and trademark in its marketing materials and on its website.
Vecify reserves the right to amend these Terms. Vecify will inform the Customer of any changes in writing (e.g., via email or Platform notification) at least two weeks before the planned effective date. Changes are deemed accepted if the Customer continues to use the Platform after the effective date of the amendments. Vecify will specifically inform the Customer of this rule of acceptance through continued use.
These Terms of Service are effective as of October 21st, 2025 and may be updated periodically.
